Disclaimer: Search Members 1.By submitting my Search registration to the Professional Music Directory (PMD), I acknowledge that I/We are interested in professional talent for musical, vocal, or musical production talent for hire. “Professional” means a person, organization, company, agent, or entity that is engaged in the professional music industry such as: music production, recording, music publishing, advertising agencies, television, film, video licensing, or any and all music-related entities that would require the paid services of specialized, experienced, and knowledgeable professional talent in the same capacity. 2. I agree to use the PMD for strictly professional-related work for hire and/or paid recording sessions/events. By having access to the names, addresses, phone numbers, email addresses and contact information, I am restricted to its use solely and exclusively for accessing the talent on the Directory. I further agree that I will not use the names and contact information to download, print, forward via email, or reproduce in any form or fashion. Such violation of rights shall constitute immediate removal from membership privileges as well as access to the Directory. 3. I agree that the PMD is not to be used for advertising, promotional reasons, spam on the Internet, and exploitation for marketing purposes, whether personal or as a company. Failure to comply with such use of the PMD shall warrant permanent removal as a member/user of the PMD, without exception. 4. The activation code for Search Members shall be used solely for the purpose of one individual or company representative. Furthermore, the activation code cannot be shared, revealed or sold under any circumstances to any third parties, without the express permission and consent of Love & Laughter Music. Failure to comply with such restrictions shall be grounds for permanent removal as a Search Member. 5. I understand that I am solely responsible for the talent contracted for hire in the PMD for professional purposes. I am also responsible for payment of any and all fees, rates and contractual agreements made between the member user and talent. Love & Laughter Music serves as a contact database for such talent, and does not accept responsibility for the talent made for hire, fees, contracts submitted by each registered member, and legal disputes and matters between parties. 6. I understand that all tax-related payments, notices and bookkeeping records for the talent made for hire in the PMD is strictly the responsibility between the person/company hiring such talent, and the PMD members as Independent Contractors. I agree to abide by all tax-related guidelines as established by the State of California, and the Internal Revenue Service, related to any and all matters regarding tax deductions, payments, fees, contracts and agreements made herein between all parties. 7. I understand that any legal matters or disputes between any and all parties hired through the PMD, are strictly between the same, and that Love & Laughter Music is not responsible or liable under any circumstances for such legal or personal matters or disputes. 8. Love & Laughter Music reserves the right to refuse membership to any applicant(s) they feel misrepresents, impersonates, or violates any and all of the above mentioned conditions as a Search Member in the PMD. Any and all such misrepresentations shall be grounds for immediate termination of membership and access privileges. 9. The Search Member hereby indemnifies, and agrees at all times to save Love & Laughter Music, LLC harmless against any loss or damage by reason of any adverse claim made or asserted by itself or others or any part thereof, in the defense of any such claim or claims, including counsel fees, as well as any and all sums of whatever kind paid by it on account of any such claim or claims, whether paid pursuant to a judgement or decree of a court, an arbitration award or any settlement or adjustment or otherwise, and shall, at all times be borne solely by the Search Member.
